Perth Sumian Technology (Shenzhen) Co., Ltd. (including its parent company, subsidiaries, affiliates, etc., hereinafter referred to as "Umian") is looking for excellent suppliers (hereinafter referred to as "you" or "new suppliers") Become a business partner. If you intend to establish communication with Umian, become a new supplier of Umian, and wish to establish a formal purchase and supply relationship, please confirm that you are aware of and agree to this "New Supplier Registration Agreement" ("Registration Agreement"):

1. Information Provision and Collection
You can register as a new supplier of Umian by using Umian's supplier platform ("SRM" system). Through registration, you need to provide relevant information ("registration information"), such as the company's basic information, contact person, qualification certificate, company operation information, etc.

The registration information you provide must be true, complete, accurate, legal and valid.

You must not provide any information that violates the requirements of Youmian ("improper information"), such as any information that violates the rights of other parties, violates public order and good customs, or violates laws and regulations.

After successful registration, Umian will send you the user account and password of the SRM system. You are responsible for keeping the user account and password.

After Umian signs a purchase agreement with you and formally establishes a cooperative relationship, you and Umian’s procurement and supply cooperation, including but not limited to inquiry quotation, ordering, delivery and delivery, reconciliation management, etc. can be in Umian SRM system. You accept the documents or offers related to the above procedures and operations by clicking to confirm, tick or other similar methods, and with Youmian in the SRM system, including but not limited to material prices, L/T, orders and delivery schedules, etc. To reach an agreement, such agreement constitutes a legally binding and enforceable contract or agreement for you or Umian.

2. Information storage and security
The registration information you provide will be stored and protected by Umian. Umian has established an information security control system to prevent your registration information from being used, cancelled, modified, copied, destroyed, or leaked by others. In order to store and protect your registration information, Umian adopts various confidential methods such as tangible or electronic and strict confidential procedures.

You must not undermine the security of Umian’s registered website, and must not conduct any activities to detect website vulnerabilities and risks, or contact any unauthorized accounts or servers to obtain unauthorized information.

3. Use of information
Umian uses your registered information only to assess your supplier’s qualifications and carry out Supplier certification, or necessary use in accordance with other judicial and government requirements.

The information on the Umian supplier platform is only for your use as a new supplier. Without the written authorization of Umian, you may not or authorize a third party to use any information on the supplier platform.

4. Information update


You need to keep the registration information provided in a true and valid state. If there is any information update, you need to modify and update it through the supplier platform in a timely manner, or obtain a written confirmation from Umian by other means.

5. Confidentiality
The information related to Youmian obtained by contacting and using the platform of Youmian’s suppliers Confidentiality is required, and reasonable use is based on the principle of minimum use and minimum disclosure.

Umian may entrust other third parties to provide services on behalf of Umian, such as data processing. We only provide these third parties with the information necessary to complete the service, and we sign confidentiality agreements with these third parties based on the same confidentiality standards followed by Umian. These third parties may come from overseas, and according to the laws of their locations, these overseas third parties may have certain information disclosure obligations.

6. Breach of contract and exemption
If you violate the provisions of the foregoing clauses, you may not be able to pass the supplier qualification certification. Even if you have passed the certification using false information, regardless of whether you have established a formal procurement and supply relationship with you, you have the right to suspend or terminate communication and cooperation with you at any time.

Umian reserves the right to modify or delete any improper information.

If you disclose improper information to Umian, or conduct improper behavior, which leads to a third party's infringement complaint, claim or lawsuit against Umian, you promise that Umian will exempt Umian from liability, and Umian reserves the right to reduce losses Communicate with a third party, and you promise to compensate for the losses caused by Youmian.

If you violate the provisions of this "Registration Agreement", such as providing improper information, disrupting the security of the registered network, breaching confidentiality obligations, etc., if you cause losses to Umian, you need to compensate for all losses caused thereby.

7. Dispute handling
This clause is governed by the laws of the People's Republic of China. If this agreement conflicts with the applicable law, the applicable law shall prevail. If there is any dispute over this clause, it shall be settled through friendly negotiation first. If the negotiation fails, it shall be submitted to the Shenzhen Municipal People’s Court with jurisdiction for litigation.

8. Explanation of effectiveness
The recognition and acceptance of this clause only means that you agree to register as a new supplier of Umian. It does not mean that you have established a formal procurement and supply cooperation relationship with Umian. After evaluation, Umian will choose whether to sign a purchase agreement with you and establish Partnership. After Umian signs a purchase agreement with you, the conflict between this "Registration Agreement" and the purchase agreement signed by both parties shall be subject to the purchase agreement, and the remaining terms of this "Registration Agreement" are still valid.

9. Revision of terms
Umian may revise this "Registration Agreement" in due course. If such revisions result in a substantial reduction of your rights, we will notify you through a prominent position on the supplier's platform webpage or send you an email or other means before the revision takes effect. In this case, if you continue to use our platform, you agree to be bound by the revised "Registration Agreement".
